Brawne's governance approach is based on King IV™. The King Committee published the King IV™ Report on Corporate Governance 2016 (King IV) on 1 November 2016. King IV™ is effective in respect of financial years commencing on or after 1 April 2017. King IV™ replaces King III in its entirety.
King IV™ is principle- and outcomes-based rather than rules-based. Corporate governance should be concerned with ethical leadership, attitude, mindset and behaviour. The focus is on transparency and targeted, well-considered disclosures.
The Board of Brawne Capital Holdings Ltd, Subsidiary Company Boards and individual Directors accept their duty and responsibility to ensure that the principles set out in King IV™ are observed over and above those minimum requirements required by an privately held public company and are committed to the highest level of corporate governance and the implementation of effective structures, policies and practices that improve corporate governance and create sustainable value for our shareholders and other stakeholders.
